Lynn Laverty Elsenhans, 54, former chairman, chief executive officer and president, Sunoco, Inc., manufacturer and marketer of petrochemical products.  Ms. Elsenhans is also former chief executive officer and chairman of the board of Sunoco Partners, LLC, the general partner of Sunoco Logistics Partners, LP.  Sunoco Logistics engages in the transport, terminalling and storage of refined products and crude oil.  Ms. Elsenhans previously served as executive vice president, global manufacturing, Shell Downstream Inc., a subsidiary of Royal Dutch Shell plc, from January 2005 until July 2008.  She served concurrently as president of Shell Oil Company and chief executive officer of Shell Oil Products U.S. from 2003 until 2005.  Ms. Elsenhans is an overseer for the Jones Graduate School of Management at Rice University, and serves on the boards of the Texas Medical Center, the United Way of Southeastern Pennsylvania and the Business Committee for the Arts Advisory Council.  Director since March 15, 2007.
